Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the websites, platforms, and services provided by CodieDog Interactive ("CodieDog," "we," "us," or "our"). By accessing our sites or engaging our services, you agree to these Terms. If you do not agree, please do not use our sites or services.

1. Services

CodieDog provides custom web development, API integrations, hosting, AI tooling, and related digital services. The specific scope, deliverables, timeline, and price for any engagement are defined in a separate written proposal, quote, or agreement ("Project Agreement"). If any term here conflicts with a signed Project Agreement, the Project Agreement controls for that engagement.

2. Quotes, Proposals, and Payment

  • Quotes and proposals are valid for the period stated in them, or 30 days if none is stated.
  • Fees, deposits, and payment schedules are set out in your Project Agreement.
  • Unless stated otherwise, deposits are non-refundable once work has begun.
  • Invoices are due as specified; late payments may pause work and may accrue interest where permitted by law.

3. Client Responsibilities

To deliver on time, we rely on you to provide accurate information, content, access credentials, timely feedback, and any approvals we request. Delays in providing these may affect timelines. You are responsible for the accuracy and legality of the content and materials you supply to us.

4. Intellectual Property

Upon full payment for an engagement, you own the final custom deliverables created specifically for you, except for any third-party components, open-source libraries, or pre-existing CodieDog tools, frameworks, and templates, which remain owned by their respective owners or by CodieDog and are licensed to you for use within your project. We may display non-confidential work in our portfolio unless you ask us in writing not to.

5. Third-Party Services

Our work often integrates third-party platforms and APIs (for example Stripe, SendGrid, Google, Anthropic, and social networks). Your use of those services is subject to their own terms and pricing, and we are not responsible for their availability, changes, or actions. Any fees charged by third-party providers are your responsibility unless your Project Agreement states otherwise.

6. Acceptable Use

You agree not to use our sites or services to violate any law, infringe others' rights, transmit malicious code, attempt to gain unauthorized access to systems, or interfere with the operation of our services. We may suspend access for conduct that we reasonably believe violates these Terms or poses a security risk.

7. Warranties and Disclaimers

We perform our services in a professional and workmanlike manner. Except as expressly stated in a Project Agreement, our sites and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that services will be uninterrupted or error-free.

8. Limitation of Liability

To the fullest extent permitted by law, CodieDog will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to your use of our sites or services. Our total liability for any claim will not exceed the amount you paid to us for the specific engagement giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless CodieDog and its personnel from claims, damages, and expenses arising out of content or materials you provide, your use of the deliverables, or your violation of these Terms or applicable law.

10. Term and Termination

Either party may terminate an engagement as described in the applicable Project Agreement. Upon termination, you agree to pay for all work performed up to the termination date. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any disputes will be handled in the state or federal courts located in San Diego County, California, and you consent to their jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of our sites or services after changes take effect constitutes acceptance of the revised Terms.
